We provide coaching and consulting services related to leadership and personal sovereignty across health habits, personal finance frameworks, and privacy practices. Specific deliverables are defined in a written proposal, statement of work (“SOW”), or email confirmation.

4) Fees, invoicing, and payment

Fees are stated in the proposal/SOW. Unless otherwise specified, invoices are payable in advance. Work begins after payment is received (or as otherwise agreed in writing).

• Late payments may pause delivery until the account is current.
• You are responsible for any bank, FX, or platform fees.

5) Scheduling, rescheduling, and cancellations

• Sessions may be rescheduled with at least 24 hours’ notice.
• Missed sessions or late cancellations (under 24 hours) may be counted as delivered, unless we agree otherwise.
• If we need to reschedule, we will propose the next available time promptly.

Because services are time-based and capacity is reserved, fees are generally non-refundable once work has started. If you believe there has been a billing error, contact us within 7 days of the invoice date.

Pre-existing materials, frameworks, templates, and know-how remain our intellectual property. Upon full payment, you receive a personal, non-transferable license to use deliverables for your internal purposes. You may not resell, publish, or distribute our materials without written permission.

Services are provided “as is” and results are not guaranteed. To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim is limited to the fees paid for the services giving rise to the claim.

En la máxima medida permitida por ley, no somos responsables de daños indirectos, incidentales, especiales, consecuenciales o punitivos. 10) Term and termination

These Terms apply from the effective date and remain in effect while services are provided. Either party may terminate an engagement for convenience with written notice, subject to payment for work already performed and any non-cancellable commitments.

Estos Términos aplican desde la fecha de entrada en vigor y mientras se presten servicios. Cualquiera de las partes puede resolver un encargo por conveniencia mediante aviso escrito, sujeto al pago por el trabajo ya realizado y compromisos no cancelables.

11) Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules. The parties will attempt to resolve disputes in good faith. If not resolved, disputes will be brought in a court of competent jurisdiction located in Wyoming, unless otherwise agreed in writing.

Estos Términos se rigen por las leyes del Estado de Wyoming, USA, sin atender a normas de conflicto de leyes. Las partes intentarán resolver disputas de buena fe. Si no se resuelve, las disputas se someterán a tribunales competentes en Wyoming, salvo pacto distinto por escrito.

CONSULTING SERVICES AGREEMENT

CONTRATO DE PRESTACIÓN DE SERVICIOS

This Consulting Services Agreement (“Agreement”) is entered into by and between: (1) OtoCo Base WY LLC - Sovereign Axis - Series 184, with principal address 159 N. Wolcott St. Suite 133, Casper, Wyoming 82601, USA (“Consultant”); and (2) the client identified in the applicable proposal or statement of work (“Client”).

Este Contrato de Prestación de Servicios (“Contrato”) se celebra entre: (1) OtoCo Base WY LLC - Sovereign Axis - Series 184, con domicilio 159 N. Wolcott St. Suite 133, Casper, Wyoming 82601, USA (“Consultor”); y (2) el cliente identificado en la propuesta o alcance aplicable (“Cliente”).

1. Services. Consultant will provide the services described in the proposal/SOW (“Services”). Any changes must be agreed in writing.
2. Term. The term begins on the start date in the proposal/SOW and continues until completion or termination under this Agreement.
3. Fees. Client will pay the fees stated in the proposal/SOW. Unless otherwise stated, fees are payable in advance. Late payment may suspend Services.
4. Expenses. Pre-approved, reasonable expenses may be billed to Client. Client is responsible for payment processing fees unless prohibited by law.
5. Client Cooperation. Client will provide timely access to information and materials reasonably necessary to perform the Services.
6. Confidentiality. Each party will protect the other’s confidential information using reasonable care and will use it only to perform this Agreement.
7. Intellectual Property. Consultant retains ownership of pre-existing materials. Deliverables are licensed to Client for internal use upon full payment, unless otherwise stated in the proposal/SOW.
8. Disclaimer. Services are coaching/consulting. Consultant does not provide medical, legal, tax, or individualized investment advice.
9. Limitation of Liability. Consultant’s total liability is limited to fees paid for the Services giving rise to the claim, to the maximum extent permitted by law.
10. Termination. Either party may terminate with written notice. Client will pay for Services performed up to termination and any non-cancellable commitments.
11. Governing Law. Wyoming law governs this Agreement. Venue for disputes is Wyoming, unless otherwise agreed.
12. Entire Agreement. This Agreement, together with the proposal/SOW, constitutes the entire agreement and supersedes prior discussions.

1. Servicios. El Consultor prestará los servicios descritos en la propuesta/SOW (“Servicios”). Cualquier cambio debe acordarse por escrito.
2. Duración. El Contrato comienza en la fecha indicada en la propuesta/SOW y continúa hasta su finalización o resolución conforme a este Contrato.
3. Honorarios. El Cliente pagará los honorarios indicados en la propuesta/SOW. Salvo indicación distinta, se pagan por adelantado. El impago puede suspender los Servicios.
4. Gastos. Los gastos razonables y previamente aprobados podrán repercutirse al Cliente. El Cliente asume comisiones de pago salvo prohibición legal.
5. Colaboración del Cliente. El Cliente proporcionará acceso oportuno a la información y materiales necesarios para prestar los Servicios.
6. Confidencialidad. Cada parte protegerá la información confidencial de la otra con diligencia razonable y la usará solo para ejecutar este Contrato.
7. Propiedad Intelectual. El Consultor conserva la titularidad de materiales previos. Los entregables se licencian al Cliente para uso interno tras el pago completo, salvo pacto distinto en la propuesta/SOW.
8. Exención. Los Servicios son coaching/consultoría. El Consultor no presta consejo médico, legal, fiscal o asesoramiento de inversión individualizado.
9. Limitación de responsabilidad. La responsabilidad total del Consultor se limita a los honorarios pagados por los Servicios que originan la reclamación, en la máxima medida permitida por la ley.
10. Resolución. Cualquiera de las partes puede resolver mediante aviso escrito. El Cliente pagará lo prestado hasta la fecha y compromisos no cancelables.
11. Ley aplicable. La ley de Wyoming rige este Contrato. El fuero para disputas es Wyoming, salvo pacto distinto.
12. Acuerdo completo. Este Contrato, junto con la propuesta/SOW, constituye el acuerdo completo y sustituye comunicaciones previas.

13) Updates

We may update these Terms from time to time. Changes apply prospectively and will be posted on this page with a new effective date.
